1. Introduction

1.1 Purpose of These Terms

Welcome to Giver. These Terms of Service ("Terms"), which we may update from time to time, apply to the Giver platform, including our website at giverstories.com, any related apps, and any new features we add (the "Platform"). "Giver," "we," "us," and "our" refer to Giver LLC, a Utah limited liability company.

1.2 Acceptance of Terms

By using the Platform, whether as a donor, a person creating a campaign, a recipient of funds, an affiliate partner, or otherwise, you agree to these Terms and to our Privacy Notice, which is incorporated by reference. If you do not agree, do not use the Platform.

1.3 A Quick Note on Arbitration

By using the Platform, you're agreeing that if a disagreement arises between you and Giver, it will be resolved through binding individual arbitration, not in court, and that you waive your right to a jury trial or to participate in a class action. Section 18 (Dispute Resolution and Arbitration) has the details, including how to opt out.

2. Definitions

  • Account: a unique account you create to access and use the Platform.
  • Affiliate Partner: an organization, such as a nonprofit, faith community, or community group, that identifies and vouches for a Recipient's campaign under a separate partner agreement, without handling donor funds.
  • Campaign: a page on the Platform created to raise a Direct Gift, Crowdfunding gift, or Amazon Request for a Recipient's specific, disclosed need.
  • Donor: anyone who gives funds through a Campaign or the General Fund.
  • Recipient: the individual for whose benefit a Campaign is run and who is the intended recipient of the funds raised.
  • Services: the features and tools Giver provides through the Platform, including creating and browsing Campaigns, giving, and receiving funds.
  • Services Content: content and materials Giver provides on the Platform, including text, graphics, logos, and software, other than Your Content.
  • Transfer: moving funds raised through a Campaign to a Recipient by direct deposit, prepaid card, or an international payout method.
  • User: anyone who accesses or uses the Platform, including Donors, Recipients, and Affiliate Partners.
  • Your Content: any video, photo, story, or other content a User submits to the Platform.

3. The Services We Provide

3.1 What Giver Is

Giver is a video-first direct giving platform. Every Campaign starts with a Recipient recording a short story video describing a specific, verifiable need. Donors give directly to that Recipient. Within 24 hours of receiving funds, the Recipient records a personal thank-you video. Within 7 to 21 days, the Recipient records or provides an impact video or documentation showing how the funds were used.

Gifts made through Giver are direct gifts to individuals for the purpose described in their Campaign. They are not charitable contributions to a nonprofit and are not tax-deductible. Giver is not a nonprofit organization, and we disclose this clearly at checkout.

3.2 Our Role and Limitations

Our Services are a tool for running Campaigns and connecting Recipients with Donors. We are the merchant of record for donations, meaning your payment method is charged by Giver and the resulting funds, less applicable fees, are directed to the Recipient — but we are not a bank, broker, charity, or financial advisor, and information on the Platform is not professional financial, legal, or tax advice.

We review Campaigns according to their trust tier before they go live, but we do not guarantee that a Campaign's story is complete, that a Campaign will be funded, or that funds will be used exactly as described. As a Donor, it is up to you to decide whether a Campaign is worth supporting.

3.3 Changes to the Services

We may change, pause, or discontinue all or part of the Services at any time and for any reason. We will try to avoid disruption, but we may not always be able to give advance notice, especially in an emergency or where required by law. We are not liable for issues these changes may cause.

4. Account Creation and Eligibility

You must be at least 18 years old to create an Account, give, or run a Campaign on Giver. When you register, you must provide accurate, complete information, including your real name, and keep it up to date. Our Privacy Notice and these Terms govern how we handle that information.

If we or Stripe discover that information you provided is inaccurate, or that you have violated these Terms or Stripe's terms, or misused funds, we may immediately suspend or terminate your access to the Platform, and you could face criminal or civil liability depending on the conduct involved.

You are responsible for keeping your password and Account confidential and for all activity under your Account. Tell us right away if you believe your Account has been accessed without your permission.

5. Payment Processing and Stripe

Giver uses Stripe, Inc. and its affiliates ("Stripe") to process donations and to pay out funds to Recipients. Giver does not itself hold donated funds; Stripe handles the movement of money.

Payment processing services for Donors and Recipients on Giver are provided by Stripe and are subject to the Stripe Services Agreement, including the Stripe Connected Account Agreement where applicable, available at stripe.com/legal. By giving, running a Campaign, or accepting the role of Recipient, you agree to the processing, use, transfer, and disclosure of your data by Stripe under those terms, as Stripe may update them from time to time. Recipients who receive payouts through Stripe Connect are a Connected Account under Giver's Stripe platform account and must complete any identity verification Stripe or Giver requires before funds are released.

6. User Responsibilities

6.1 Recipients and Campaign Creators

As a Recipient or the person creating a Campaign on someone's behalf, you represent that everything you tell us about your Campaign is accurate, complete, and clear. You are responsible for describing how funds will be used, and for using donated funds only for that purpose. If you are creating a Campaign on behalf of someone else, you must ensure that all funds raised are given to or spent for that person's benefit.

You agree to:

  • Meet the follow-up requirement: a thank-you video within 24 hours of receiving funds, and an impact video or documentation within 7 to 21 days. If you don't, your Account will be suspended and you will not be eligible to run future Campaigns.
  • Complete any identity verification Giver or Stripe requests before funds are released.
  • Cooperate fully with any request for evidence we deem necessary to verify your compliance with these Terms, including explaining how funds were or will be used, supplying documentation, or confirming the identity of anyone receiving or handling the funds.
  • Promptly tell us if your circumstances materially change in a way that affects your Campaign.
  • Follow all applicable laws, including those related to taxes.

We may refuse, condition, suspend, freeze, or reverse any donation, Account, Campaign, or Transfer that we believe, in our discretion, may violate these Terms, harm our Users, or expose Giver or others to unacceptable risk.

6.2 Donors

When you give, it is your responsibility to understand how your donation will be used, and you give at your own risk. We are not responsible for what a Recipient or Campaign promises, and we do not guarantee that donations will be used exactly as described, although we take reports of fraud or misuse seriously and will investigate and act on them.

You must use a payment method you are authorized to use, and you represent that your payment information is accurate. There is no minimum gift amount. Once processed, donations are not refunded except as described in Section 7.

Gifts made through Giver are not tax-deductible, since they are direct gifts to individuals rather than contributions to a registered charity. Talk to your own tax advisor about your specific situation; Giver does not withhold funds for tax purposes and does not guarantee any tax treatment.

6.3 Affiliate Partners

Organizations that identify and vouch for Recipients as Giver Affiliate Partners are subject to a separate partner agreement in addition to these Terms. Affiliate Partners do not handle donor funds and are responsible for the accuracy of the Campaigns they submit.

7. Transfers, Holds, Refunds, and Chargebacks

7.1 How Funds Reach Recipients

  • US Recipients with a bank account: direct transfer via Stripe Connect, arriving within 2 business days of verification clearing.
  • US Recipients without a bank account: a Giver-branded prepaid card, loaded when the donation clears and available immediately.
  • International Recipients: transfer via Wise or a mobile money service such as M-Pesa, with the method confirmed with the Recipient before the Campaign goes live.

We use commercially reasonable efforts to make Transfers promptly, but Transfers depend on Users providing accurate information and on our systems and Stripe's systems working as intended. We do not guarantee that Transfers will be available within any specific time frame.

7.2 Holds

We may place a hold on a Campaign or Account, restrict a Transfer, or take similar protective action if: we need more information to verify compliance with these Terms; we determine funds should go to someone other than the Recipient, such as a legal guardian; we identify activity that presents unacceptable risk; or we are required to by court order or law.

7.3 Refunds

Refund requests are handled manually. Contact us using the information in Section 21 and we will work with you to resolve it. We may, at our discretion, issue a refund of a donation, which may include the full amount given. We are not liable for any losses, transaction fees, or overdraft fees that result from a refund we issue.

7.4 Chargebacks and Disputes

If a Donor disputes a transaction with their bank or card issuer, you agree to cooperate with Giver and Stripe in investigating and resolving it. Because donations on Giver are gifts and not an exchange for goods or services, we will contest chargebacks that claim non-delivery of goods or services where that basis does not apply. Giver may recover a disputed amount, applicable fees, and any chargeback costs from the Recipient or from future payouts, where permitted by law.

7.5 Taxes

Recipients are solely responsible for determining and meeting any tax obligations on funds received through Giver. Where required by law, Stripe or Giver may issue tax forms, such as a Form 1099-K, reflecting payments processed on a Recipient's behalf. Giver does not provide tax advice.

8. Prohibited Campaigns and Related Content

We may remove any Campaign or Your Content that we determine violates these Terms. If you violate these Terms, we may suspend or ban your Account, stop payments to any Campaign, freeze or hold funds, report you to law enforcement, or take other appropriate action.

You agree not to use the Platform to raise funds, run a Campaign, or post content for, or involving:

  • Violating any law, regulation, or third-party agreement you're bound by, including those of our payment providers.
  • A fraudulent, misleading, inaccurate, or impossible Campaign.
  • Offensive, graphic, or sexual content.
  • Ransom, human trafficking, exploitation, bribes, or bounties.
  • Illegal drugs, controlled substances, or similar products or therapies.
  • Any country, organization, entity, or person subject to U.S. or other applicable economic sanctions, including those on the OFAC restricted party list, unless expressly authorized by the relevant government authority and by Stripe.
  • Weapons, explosives, ammunition, or accessories meant for use in conflict or by an armed group.
  • Terrorism, extremism, hate, violence, harassment, bullying, discrimination, or money laundering.
  • Content that incites or promotes bullying, harassment, discrimination, or intolerance based on race, ethnicity, national origin, religion, sexual orientation, sex, gender identity, disability, or disease.
  • The legal defense of violent or financial crimes.
  • Promotion of self-harm or suicide, except as permitted by law in a clinical context.
  • Gambling, raffles, sweepstakes, or any prize or reward given in exchange for a donation.
  • Disguising or obscuring the origin of funds.
  • Investments, loans, equity offerings, lay-away arrangements, money service businesses, pyramid or referral schemes, debt collection, or cryptocurrency.
  • Cash advances or payments to yourself for which there is no genuine underlying need.
  • Products or services that infringe a third party's intellectual property.
  • The sale or resale of goods or services in exchange for a donation.
  • Circumventing our fees, payment processing rules, or these Terms.
  • Any other activity that, in our discretion, is unacceptable, restricts other Users' enjoyment of the Platform, or exposes Giver or Users to harm or liability.

9. Prohibited User Conduct

By using the Platform, you agree not to:

  • Upload content that infringes another party's rights, that you have no right to share, that contains malicious code, or that poses a privacy or security risk.
  • Interfere with or disrupt servers or networks used to provide the Platform.
  • Harvest, scrape, or publish other Users' personal information.
  • Raise funds for a minor without the express permission of the minor's guardian, unless funds are transferred into a trust or custodial account for the minor's sole benefit.
  • Post another person's personal data without their consent.
  • Use another User's Account, impersonate anyone, or misrepresent your affiliation with a person or organization.
  • Gain unauthorized access to the Platform or any connected system.
  • Use the Platform for unsolicited advertising, spam, or commercial activity unrelated to running or supporting a Campaign.
  • Send more requests to the Platform than a person could reasonably generate through normal browsing.
  • Share your login credentials with anyone.
  • Give or accept a donation you know or suspect to be erroneous, stolen, or fraudulent.
  • Use the Platform in or for the benefit of a country, organization, entity, or person embargoed or restricted under OFAC sanctions or equivalent lists in your country.
  • Attempt any of the foregoing indirectly.

You also agree to maintain reasonable security over information you send and receive through the Platform, keep records related to your Campaigns and donations as needed to demonstrate compliance with these Terms, and cooperate with any audit or investigation Giver, Stripe, or a regulator reasonably requests in connection with a Campaign or Account you're connected to.

10. Content Moderation and Reporting

If you believe a Campaign contains illegal content or violates these Terms, use the report option on the Campaign page or contact us directly, and we will investigate. We may review a Campaign or User at any time to confirm compliance, and we reserve the right, but are not obligated, to remove, edit, or modify content at our discretion.

11. Fees

  • Platform fee: Giver takes 3% of each donation automatically.
  • Processing fee: Stripe's standard processing fee (2.9% plus $0.30 per transaction) is shown separately at checkout and is paid by the Donor.
  • Optional tip: Donors may add a tip at checkout to support Giver's operations; the amount is the Donor's choice.
  • Amazon Request Campaigns: no platform fee applies, since no funds pass through Giver.
  • General Fund: contributions are allocated to active Campaigns, oldest dollars first, and are subject to the same platform and processing fees as a Direct Gift.

We show the full breakdown of fees before a Donor confirms a gift. Fees are not refundable once a transaction has processed, except as required by law or as we agree in writing.

12. Intellectual Property, Content Ownership, and Licenses

12.1 Giver's Intellectual Property

The Platform, including its design, text, graphics, logos, and software, is owned by Giver LLC or its licensors and is protected by copyright, trademark, and other laws. The Giver name and logo are trademarks of Giver LLC. You may not copy, modify, scrape, or create derivative works from the Platform or Services Content without our written permission, and you may not reverse engineer or attempt to access the underlying source code of our software.

12.2 Your Content

You retain ownership of Your Content. By submitting it, you represent that you own it or have permission to share it, including any rights of privacy or publicity of people shown in it, and you grant Giver a non exclusive, worldwide, royalty free, sublicensable license to host, display, reproduce, distribute, and use Your Content on the Platform and in Giver's own marketing, including on social media, to operate and promote the Platform. You acknowledge that submitting Your Content is voluntary and that you will not receive financial compensation for this license beyond the opportunity to use the Services.

If Your Content includes anyone other than yourself, you represent that you have obtained the necessary permissions from them to share it with us.

12.3 Feedback

If you send us ideas, suggestions, or feedback about the Platform, you agree we may use them for any purpose without obligation or compensation to you.

12.4 Copyright Complaints

We respect intellectual property rights and respond to reports of infringement. If you believe content on the Platform infringes your copyright, send a written notice to hello@giverstories.com with a description of the copyrighted work, the location of the allegedly infringing content, your contact information, and a statement made in good faith that the use is unauthorized. We will investigate and may remove content or suspend accounts of repeat infringers at our discretion.

13. Third-Party Services and Content

The Platform relies on third party services, including Stripe, Amazon, Wise, and mobile money providers, to process payments and deliver funds. Your use of a linked third-party service may be subject to that provider's own terms, and Giver has no control over and is not responsible for third-party content, functionality, or accuracy. We will work in good faith to help resolve issues that arise from a third-party service's performance, but we are not liable for its acts or omissions.

14. Suspension or Termination of Accounts

We may suspend or terminate your Account or access to the Platform, and remove any Campaign or content, at any time, with or without notice, in response to a suspected violation of these Terms, fraud, or illegal activity. To the extent permitted by law, we may do this without liability to you or any third party.

We may close an Account if: we can't confirm a Campaign complies with these Terms; we can't support the Account technically; Stripe can't support the Account; the Recipient asks that the Campaign be removed; the Account is abandoned; the Account poses a risk to Giver or our community; or closing it is required by law. Where appropriate, we may issue refunds in connection with a closure.

15. Disclaimers

YOUR USE OF THE PLATFORM IS AT YOUR OWN RISK. TO THE EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." GIVER DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON INFRINGEMENT.

GIVER DOES NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE, OR THAT ANY RESULTS OBTAINED THROUGH THE PLATFORM WILL BE ACCURATE OR RELIABLE. ALL CONTENT ON THE PLATFORM IS FOR GENERAL INFORMATIONAL PURPOSES AND IS NOT FINANCIAL, LEGAL, OR TAX ADVICE.

GIVER DOES NOT GUARANTEE THAT ANY CAMPAIGN WILL RECEIVE ANY PARTICULAR AMOUNT OF DONATIONS OR ANY DONATIONS AT ALL, AND DOES NOT ENDORSE ANY CAMPAIGN, RECIPIENT, OR CAUSE. AS A DONOR, YOU ARE RESPONSIBLE FOR DECIDING WHETHER TO SUPPORT A CAMPAIGN.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GIVER LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, GOODWILL, USE, OR DATA, ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

GIVER'S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE PLATFORM WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE FEES YOU PAID TO GIVER IN THE SIX MONTHS BEFORE THE CLAIM AROSE. WE ARE NOT LIABLE FOR THE CONTENT OR CONDUCT OF ANY USER, INCLUDING ERRORS OR OMISSIONS IN ANY CAMPAIGN, AND WE DISCLAIM ANY LIABILITY FOR THE OUTCOME OR SUCCESS OF ANY CAMPAIGN.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATIONS ON LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH THE PLATFORM OR THESE TERMS, YOUR SOLE REMEDY IS TO STOP USING THE PLATFORM.

17. Indemnification and Release

To the fullest extent permitted by law, you agree to release, indemnify, and hold Giver LLC and its members, managers, employees, and agents harmless from any losses, damages, costs, and expenses, including reasonable attorneys' fees, arising from your use of the Platform, any donation or Campaign, Your Content, funds you received or misused, or your violation of these Terms or another person's rights.

If you are a California resident, you waive California Civil Code Section 1542, and if you reside elsewhere, you waive any comparable statute or doctrine to the extent permitted by law, in each case as it relates to unknown claims covered by this release.

18. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

18.1 Informal Resolution First

Before filing a claim, contact us at hello@giverstories.com with your name, a description of the dispute, and the relief you're seeking. For 60 days after you contact us, we'll both try in good faith to resolve the dispute informally, including through a phone or video conference if needed, before either of us files an arbitration demand or lawsuit.

18.2 Binding Arbitration and Class Action Waiver

If informal resolution doesn't work, you and Giver agree that any dispute arising out of or related to these Terms or the Platform will be resolved by binding arbitration on an individual basis, not in court and not as part of a class, collective, or representative action. YOU AND GIVER EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

This does not require arbitration of: an individual claim in small claims court, so long as it stays there and proceeds only on an individual basis; an action by a government agency where available; or a request for injunctive relief related to intellectual property infringement, which may be brought in court.

18.3 Arbitration Process

This arbitration agreement is governed by the Federal Arbitration Act. Arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules, available at adr.org, and will take place in Salt Lake County, Utah, unless you and Giver agree otherwise. The arbitrator's decision will be final and binding and may be entered as a judgment in any court with jurisdiction. Each party is responsible for its own arbitration fees as set out in the AAA rules, except as those rules or applicable law require otherwise.

18.4 Opting Out

You may opt out of this arbitration agreement by emailing hello@giverstories.com within 30 days of first becoming subject to it, with your name, address, and a clear statement that you want to opt out. If you opt out, the rest of these Terms still applies to you.

18.5 Time Limit on Claims

Any claim arising out of your use of the Platform or these Terms must be filed within one year after the claim arose, or it will be permanently barred.

19. Changes to These Terms

We may change these Terms at any time. Where possible, we'll give at least 30 days' notice of material changes by posting the updated Terms on the Platform and updating the effective date above; changes required by law may take effect sooner. Continuing to use the Platform after a change takes effect means you accept the updated Terms. If you don't agree, stop using the Platform.

20. General

  • Entire agreement: these Terms, our Privacy Notice, and any partner or Campaign-specific agreements make up the entire agreement between you and Giver about the Platform, superseding any earlier agreements on the same subject.
  • Governing law and venue: these Terms are governed by the laws of the State of Utah, without regard to conflict of law principles, except as the Federal Arbitration Act applies to Section 18. For any dispute not subject to arbitration, you and Giver agree to the exclusive jurisdiction of the state and federal courts in Salt Lake County, Utah.
  • Waiver: our failure to enforce a provision is not a waiver of our right to do so later.
  • Severability: if a provision is found unenforceable, the rest of these Terms remain in effect, and the unenforceable provision will be interpreted to reflect the parties' original intent as closely as the law allows.
  • Assignment: you may not assign these Terms without our written consent; Giver may assign these Terms without notice in connection with a merger, acquisition, or sale of assets.
  • Notices: to the extent permitted by law, we may give you notice by email, regular mail, or by posting on the Platform.
  • Force majeure: Giver is not liable for delay or failure to perform caused by events outside our reasonable control, including acts of God, war, terrorism, civil unrest, fire, flood, government action, or labor or supply shortages.
  • Export controls: you represent that you are not located in a country subject to U.S. government embargo or named on a U.S. government restricted party list, and that you will not use the Platform in violation of applicable export control or sanctions laws.
  • Section titles: headings are for convenience only and don't affect interpretation.
